CivicEventOS is operated by Balthrop Logic Operating Systems Inc.
These Terms of Service govern access to and use of CivicEventOS, a municipal event operating system operated by Balthrop Logic Operating Systems Inc.
By accessing CivicEventOS, purchasing a ticket, registering for a class or workshop, using a digital ticket, creating or using a staff account, accessing a tenant portal, submitting a support request, or otherwise using the platform, you agree to these Terms of Service, the CivicEventOS Privacy Policy, and any applicable tenant, venue, event, class, payment, refund, or registration rules.
If you are using CivicEventOS on behalf of a city, public agency, venue, arts center, organization, or other tenant, you represent that you are authorized to use the platform on behalf of that organization.
CivicEventOS is a software platform that supports ticketing, class and workshop registration, box office operations, venue and venue-space management, reserved seating, general admission events, access control and scanning, patron CRM, payment processing, refunds and voids, settlement reporting, audit logging, bulk import/export, support ticketing, tenant-branded public portals, and related event operations.
CivicEventOS provides platform technology. Unless expressly stated otherwise, CivicEventOS and Balthrop Logic Operating Systems Inc. are not the event organizer, venue operator, presenter, sponsor, promoter, instructor, or public agency responsible for the event, class, venue, or program being offered.
Events, classes, workshops, programs, venues, pricing, seating rules, admission policies, refund policies, accessibility policies, cancellation decisions, event descriptions, images, schedules, registration requirements, age restrictions, emergency contact requirements, and venue-specific rules are controlled by the applicable tenant organization.
Tenant organizations are responsible for the accuracy, legality, and completeness of their own content, listings, pricing, staff access, communications, refunds, and operational decisions. CivicEventOS may provide tools to publish, manage, process, and report this information, but the tenant organization remains responsible for its own events, classes, programs, and public-facing policies.
Patrons may use CivicEventOS to purchase tickets, register for classes or workshops, receive confirmations, access digital tickets, update order information where available, and communicate with the tenant organization or platform support.
Users agree to provide accurate and complete information when purchasing tickets, registering for programs, submitting forms, or contacting support. CivicEventOS and tenant organizations may rely on the information submitted to process orders, deliver tickets, manage registrations, communicate about events, and support venue operations.
Users are responsible for reviewing event dates, times, locations, seat selections, registration details, quantities, prices, service fees, and applicable tenant policies before completing a purchase or registration.
Tickets may be issued as digital tickets, printed tickets, box office tickets, reserved-seat tickets, general admission tickets, complimentary tickets, waived tickets, or other formats supported by the tenant organization.
Tickets may be validated through QR code scanning, staff lookup, box office verification, or other access-control methods. A ticket may be rejected if it is duplicate, refunded, voided, expired, transferred in violation of applicable rules, altered, unreadable, invalid, associated with an unpaid or reversed transaction, or otherwise not recognized by the platform or venue.
Possession of a ticket does not guarantee entry if the patron violates venue rules, event rules, safety requirements, age restrictions, security procedures, or other lawful policies of the tenant organization or venue.
For reserved seating events, CivicEventOS may temporarily hold selected seats during checkout. Seat holds are time-limited and may expire if checkout is not completed within the required time. An expired hold may release the seat for purchase by another patron.
CivicEventOS is not responsible for a patron’s loss of a seat selection caused by an expired hold, incomplete checkout, declined payment, browser issue, network interruption, duplicate session, or other failure to complete the transaction before the hold expires.
CivicEventOS may be used for class, workshop, education, youth, family, or community program registration. Tenant organizations are responsible for program eligibility, schedules, fees, capacity limits, waitlist rules, required documents, participant requirements, guardian consent requirements, emergency contact requirements, attendance rules, and program policies.
Submitting a registration does not guarantee participation unless the registration is accepted, paid where required, and confirmed under the applicable tenant organization’s rules.
Ticket prices, registration fees, service fees, convenience fees, processing fees, taxes, discounts, complimentary admissions, waived fees, and other charges may vary by tenant, event, venue, program, payment method, or sales channel.
Applicable prices and fees should be reviewed before completing checkout. By completing a purchase or registration, the user authorizes the applicable charges displayed or otherwise disclosed during the transaction.
Tenant organizations are responsible for determining their own pricing, tax treatment, fee structure, discount rules, and public-facing fee disclosures unless otherwise agreed in a written contract with Balthrop Logic Operating Systems Inc.
Payments made through CivicEventOS may be processed by Stripe or another approved third-party payment processor. Payment processing may be subject to the processor’s own terms, privacy policy, underwriting requirements, compliance rules, chargeback procedures, settlement timing, and account requirements.
CivicEventOS does not store full payment card numbers on its own servers. The platform may store limited transaction metadata, such as payment status, transaction identifiers, refund status, fee data, processor references, settlement references, and other information needed for accounting, reporting, reconciliation, support, security, and legal compliance.
Demonstration, sandbox, or test environments may use test payment credentials. Live payment processing requires approved merchant/payment configuration and may require additional review by the tenant organization, payment processor, bank, finance department, or other approving authority.
Refunds, voids, exchanges, credits, cancellations, service-fee reimbursement, class withdrawal, no-show treatment, weather policies, and event postponement rules are governed by the applicable tenant organization’s policies unless otherwise required by law or expressly agreed in writing.
CivicEventOS may provide tools to process full or partial refunds, per-ticket voids, manual credits, no-charge voids, and related reporting, but the tenant organization is responsible for deciding whether a patron is entitled to a refund or credit.
Service fees, convenience fees, processing fees, and other platform or processor charges may be non-refundable unless the tenant organization’s policy, processor rules, applicable law, or a written agreement requires otherwise.
Chargebacks, disputed payments, reversed transactions, processor holds, fraud reviews, and failed settlements may result in cancellation of tickets, invalidation of registrations, delayed settlement, additional documentation requests, or other account action.
Tenant staff, box office users, scanners, managers, finance users, marketers, auditors, and administrators must use CivicEventOS only for authorized tenant business purposes. Staff users are responsible for protecting login credentials, using assigned roles appropriately, and complying with tenant policies and applicable law.
Staff users may not share accounts, misuse patron data, access data outside their authority, alter records for improper purposes, bypass access controls, interfere with audit logs, or use the platform for unauthorized transactions.
CivicEventOS may log staff activity, including login events, order actions, refund activity, scanner actions, box office activity, data exports, administrative changes, and support actions for security, audit, reporting, and compliance purposes.
CivicEventOS uses commercially reasonable efforts to maintain platform availability, support tenant operations, and respond to support requests. The platform may include a support ticketing and emergency escalation workflow for tenant staff and authorized users.
The platform may be unavailable or limited due to scheduled maintenance, emergency maintenance, hosting outages, internet failures, payment processor issues, tenant configuration errors, third-party service failures, cyber events, force majeure events, or other circumstances outside reasonable control.
Any specific service level, response time, support window, emergency response commitment, uptime guarantee, training obligation, or maintenance obligation must be stated in a written agreement between Balthrop Logic Operating Systems Inc. and the applicable tenant organization.
Users may not use CivicEventOS to engage in unlawful, fraudulent, harmful, abusive, deceptive, or unauthorized activity. Users may not attempt to gain unauthorized access to accounts, systems, data, payment workflows, tenant records, source code, administrative tools, or restricted areas of the platform.
Users may not interfere with ticket scanning, manipulate seat holds, bypass payment workflows, scrape or harvest data, reverse engineer the platform, upload malicious code, misuse patron information, send spam, impersonate another person, misrepresent affiliation with a tenant, or use CivicEventOS in a manner that harms the platform, tenants, patrons, staff users, or the public.
Tenant organizations and authorized staff may upload, enter, or publish event descriptions, class descriptions, images, venue information, prices, schedules, documents, messages, registration forms, and other content.
The submitting tenant or user is responsible for ensuring that submitted content is accurate, lawful, authorized, non-infringing, appropriate for publication, and consistent with tenant policies and applicable law.
By submitting content to CivicEventOS, the submitting party grants Balthrop Logic Operating Systems Inc. the limited right to host, process, display, transmit, reproduce, and use that content as necessary to provide, support, secure, maintain, and improve the platform.
Tenant event data, patron transaction data, class registration data, settlement records, reports, and municipal operational records are generally owned or controlled by the applicable tenant organization or relevant data owner, subject to CivicEventOS rights needed to host, process, support, secure, audit, report, retain, and comply with law and contract obligations.
Balthrop Logic Operating Systems Inc. owns and retains all rights in CivicEventOS software, source code, architecture, workflows, designs, templates, documentation, user interface elements, platform methods, trade secrets, know-how, administrative tools, and related intellectual property.
No user or tenant receives ownership of the CivicEventOS software or platform intellectual property except as expressly provided in a written agreement.
Some tenant organizations may be public bodies or government-related entities subject to public-records, procurement, audit, retention, accessibility, payment, or other public-sector requirements.
The tenant organization is responsible for determining whether records, data, communications, reports, or content maintained through CivicEventOS are subject to public disclosure, exemption, retention, production, or other legal requirements.
CivicEventOS may reasonably assist tenant organizations with exports, audit support, record access, or compliance support as required by the applicable written agreement and law.
Use of CivicEventOS is also governed by the CivicEventOS Privacy Policy. The Privacy Policy describes how information is collected, used, shared, retained, and protected.
Users should review the Privacy Policy before using the platform, purchasing tickets, registering for programs, submitting support requests, or using staff/admin tools.
CivicEventOS may rely on or integrate with third-party services, including payment processors, hosting providers, email or messaging providers, analytics providers, security tools, mapping services, tenant websites, social media services, and other vendors.
Third-party services may be governed by their own terms, privacy policies, service levels, availability, fees, and compliance requirements. CivicEventOS is not responsible for third-party services that it does not control.
CivicEventOS is provided on an “as available” and “as provided” basis except as expressly stated in a written agreement. Balthrop Logic Operating Systems Inc. does not guarantee that the platform will be uninterrupted, error-free, immune from all security risks, compatible with every device or browser, or available at all times.
Balthrop Logic Operating Systems Inc. is not responsible for tenant content, event cancellation, event quality, venue operations, admission decisions, weather closures, artist or instructor changes, tenant refund decisions, public agency decisions, payment processor outages, internet failures, user device issues, or third-party service failures.
To the fullest extent permitted by applicable law, Balthrop Logic Operating Systems Inc., CivicEventOS, and their officers, employees, contractors, agents, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, business-interruption, data-loss, reputational, or similar damages arising from or related to use of the platform.
To the fullest extent permitted by applicable law, any liability of Balthrop Logic Operating Systems Inc. related to CivicEventOS shall be limited to the amount paid to Balthrop Logic Operating Systems Inc. for the specific transaction or service giving rise to the claim, or the amount stated in a written agreement with the applicable tenant organization.
Some jurisdictions or public-sector contracts may not allow certain limitations. In those cases, the limitation will apply only to the extent permitted by law and the applicable written contract.
To the extent permitted by applicable law, users and tenant organizations agree to be responsible for claims, losses, damages, liabilities, costs, and expenses arising from their misuse of the platform, violation of these Terms, violation of law, unauthorized access, improper staff actions, submitted content, tenant event operations, or infringement of third-party rights.
For public-sector tenants, indemnification obligations may be limited, modified, or replaced by the final written contract between Balthrop Logic Operating Systems Inc. and the tenant organization.
CivicEventOS may suspend, restrict, or terminate access to the platform where necessary to protect security, prevent fraud, respond to unauthorized use, comply with law, enforce these Terms, address payment or chargeback issues, comply with tenant instructions, or protect the platform, tenants, patrons, staff users, or the public.
Tenant staff access may also be modified, suspended, or terminated by the applicable tenant organization or its authorized administrators.
These Terms are general platform terms. For a municipal tenant or public agency, a separately negotiated written contract, purchase order, procurement document, statement of work, data processing addendum, support agreement, or other written agreement may supplement or modify these Terms.
If there is a direct conflict between these general Terms and a final written agreement signed by Balthrop Logic Operating Systems Inc. and the applicable tenant organization, the final written agreement will control to the extent of that conflict.
Balthrop Logic Operating Systems Inc. may update these Terms from time to time. Updated Terms will be posted on the CivicEventOS website or applicable tenant portal with a revised effective date. Continued use of CivicEventOS after the updated Terms are posted means the updated Terms apply to future use of the platform.
Unless a written agreement with a tenant organization provides otherwise, these Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles.
Any venue, jurisdiction, dispute-resolution, claims procedure, or contractual remedy applicable to a municipal tenant may be governed by the final written contract, procurement documents, purchase order, or applicable law.
